Terms of Service

These Terms of Service (“Terms”) govern your use of services provided by Garden State Strategies LLC (“we,” “us,” or “our”). By engaging our services, you agree to these Terms.
1. Services
Garden State Strategies provides local SEO and digital marketing services, including but not limited to Google Business Profile management, advertising campaign management, local SEO, and branding services. The specific services, deliverables, and fees applicable to your engagement will be outlined in a separate service agreement or proposal.
2. Payment Terms
Monthly services are billed in advance on a recurring basis. Payment is due on the first of each billing cycle. We accept payment via credit card, debit card, and ACH transfer. A one-time setup fee may apply to new engagements, as specified in your service agreement. Annual plans are non-refundable and lock in the current monthly rate for the term of the agreement.
3. Cancellation Policy
Month-to-month services may be cancelled with 30 days written notice. Annual plans are non-refundable. Upon cancellation, access to managed accounts, campaigns, and reporting will be transferred back to the client within 7 business days. We reserve the right to terminate services for non-payment or violation of these Terms with 7 days notice.
4. Client Responsibilities
You agree to provide accurate information, timely approvals, and access to accounts necessary for us to perform services. Delays caused by lack of client response or access may affect deliverable timelines. You are responsible for maintaining the confidentiality of any account credentials shared with us.
5. Advertising Spend
For services involving paid advertising (Google Ads, Meta Ads, etc.), advertising spend is billed directly by the respective platform to the client. Our management fee is separate from and in addition to any advertising spend. We are not responsible for platform billing, ad account suspensions, or changes to platform policies.
6. Intellectual Property
All content, strategies, and materials we create on your behalf become your property upon full payment. We retain the right to reference your business as a client for portfolio and marketing purposes unless you request otherwise in writing.
7. Confidentiality
We will keep your business information, strategies, and data confidential and will not share it with third parties except as required to perform our services or as required by law.
8. Results Disclaimer
We do not guarantee specific rankings, traffic levels, leads, or revenue results. Digital marketing outcomes depend on many factors outside our control, including search engine algorithm changes, market conditions, and competition. We commit to applying best practices and professional expertise on your behalf.
9. Limitation of Liability
Our total liability for any claim arising from our services is limited to the amount paid for the service in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Governing Law
These Terms are governed by the laws of the State of New Jersey. Any disputes will be resolved in the courts of New Jersey.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms. We will notify active clients of material changes by email.
